Who keeps the shareholder register for a tokenized stock, and why does it take a transfer agent?

A blockchain shows which address holds a token, but the issuer's register is what makes someone a shareholder. A transfer agent keeps that register, and crypto firms have started buying such agents along with their licenses. What the agent does and what it changes for a token holder.

A transfer agent is a firm that keeps the list of security holders on the issuer's behalf, records changes of ownership and distributes dividends. A blockchain shows which address holds a token, while the register decides whom the issuer recognizes as a shareholder. That is why crypto firms buy existing agents: on September 23, 2026 MoonPay announced the acquisition of North Capital, which includes an SEC-registered transfer agent.

What does a transfer agent do?

In the SEC's description, transfer agents record changes of ownership, maintain the issuer's security holder records, cancel and issue certificates, and distribute dividends. They sit between the company and its security holders, and a secondary trade cannot be completed without them.

Anyone performing these functions for securities registered under Section 12 of the Securities Exchange Act of 1934 has to register. Banks register with their own supervisors (the OCC, the Federal Reserve or the FDIC), and everyone else registers with the SEC. Registration on Form TA-1 takes effect after 30 days, and the annual report on Form TA-2 is due by March 31.

What is MoonPay buying?

According to the press release, MoonPay is acquiring North Capital's technology and regulated entities: broker-dealers, the PPEX alternative trading system, a transfer agent and an investment adviser. All of them are registered with the SEC. North Capital has supported $8.7 billion in primary and secondary transactions, and more than 1,250 assets are approved for secondary trading on PPEX.

The release says the transfer agent will support capital raising, asset management, clearing, custody and secondary trading for exempt securities, including tokenized ones. Both boards approved the deal unanimously. Closing requires regulatory approvals.

How is the register connected to the token?

Two setups are found in practice. In the first, the transfer agent treats the smart contract record as the master register and controls that contract. In the second, the master record sits in the agent's database and the blockchain is a copy. For a holder the difference shows up in a dispute: if a token is stolen or sent by mistake, the record treated as the master one decides the outcome.

The regulator has also set requirements for the link between a token and its issuer. On September 17, 2026 the SEC issued an exemption for venues that trade tokenized stocks. Its conditions, as summarized by Law Monitor, include notice to the issuer before a third-party tokenized version of its stock is listed, auditable smart contracts on public ledgers, and limits on the number of symbols and on volume. The exemption lasts five years.

What limits and risks should be kept in mind?

  • The MoonPay and North Capital deal has not closed and may not receive regulatory approval.
  • A transfer agent does not define the rights a token carries. Dividend and voting rights are set in the offering documents. How transfer rules are built into the token itself is covered in the article on identity registries and transfer restrictions.
  • The agent's register is centralized. An error or outage on its side delays a change of ownership however fast the blockchain is.
  • The $8.7 billion and 1,250 assets come from the companies' press release and have not been independently verified.
  • The SEC exemption is temporary, and its conditions may change after the comment period.
